UK & EEC Terms & Conditions of Business October 2005 (Cancels All Previous)
GENERAL we accept all orders on the basis that these terms and conditions are understood and agreed to. As all orders placed are immediately entered into our order system they treated as binding.
UK CARRIAGE is free on orders with a goods value over £175 (net) up to a weight limit of 25 Kg. With the exception of orders to Northern Ireland, Off Shore Islands and some areas of Scotland as these are subject to surcharges, Orders will be despatched by the most economical method, normally ANC ‘B’ Service or Royal Mail 1st Class. On request orders can be sent by express delivery subject to a surcharge. We accept no responsibility for any lost parcels sent by 1st Class mail.
Despatch We endeavour to pack and despatch all orders within 3 working days from receipt of your order. For proforma customers pack and despatch is 3 working days from receipt of your payment. In the event of any item being out of stock – we will keep you informed on any delays, wherever possible.
Payment Orders First orders are by Pro-Forma Invoice, cheques will be cleared usually within 5 working days then goods despatched immediately. Alternatively payment by the following Credit or Debit cards Visa, Visa Electron, Master Card, Delta, and Switch will allow despatch within 2 or 3 days. BACS or other bank transfers direct to one of our accounts will allow immediate despatch following proof of receipt from our bank. Payment Of Subsequent Orders can be by Pro-Forma Invoice, Credit/Debit card or by one of the following Italian Options Ltd credit accounts (subject to Approval)
ITALIAN OPTIONS LTD £150 Instant Mini Account. This is a £150 credit account with 30 days in which to ensure we are in receipt of your payment. It will be set up (Subject to approval) with minimum formality after your first order has been transacted. We carefully monitor both the £150 limit and the 30 days from invoice date period of theses accounts and will transfer them back to Pro-Forma accounts if they are not operated within these terms.
ITALIAN OPTIONS LTD 30 day Credit Account. This credit account can be opened after standard credit checks have been satisfactorily completed. Settlement of these accounts cannot be made by credit cards unless it is accepted that this will incur a charge equivalent to that charged to us by our credit card company, Debit cards do not incur this charge.
ITALIAN OPTIONS LTD 60 day Credit Account. This credit account is available to customers spending over £5000 per year and is subject to standard credit and bank checks being satisfactorily completed. Settlement of these accounts cannot be made by credit cards unless it is accepted that this will incur a charge equivalent to that charged to us by our credit card company. Debit cards do not incur this charge.
Prices. We operate a fluid pricing policy and we reserve the right to alter prices without prior notification.
Availability & Delivery. All goods are offered subject to availability and ITALIAN OPTIONS LTD cannot be held responsible for items that become discontinued. On out of stock items delivery dates are estimates only and time of delivery is not the essence of the contract. We endeavour to deliver the goods by the stated delivery date but may suspend or delay delivery and will not be liable for any loss whatsoever in the event of late delivery or non- delivery of goods or any instalment outstanding. The buyer shall not be entitled to refuse to accept late delivery or treat late delivery as a breach of contract. No order may be cancelled once goods have been despatched.
Shortages & Damages. We cannot unfortunately accept any claim for goods received with shortages unless advised by phone within 4 working days of receipt and damaged items within 24hrs of receipt. Confirmation is required in writing. Goods returned must have been authorised, we will not accept any that have not been authorised prior to receipt.
Returns Undamaged goods returned due to customer error will result in the issue of a credit note following the deduction of a £3.00 restocking charge. We cannot accept any items showing signs of being used, displayed or in such a condition as to render them not re-sellable.
Refunds We only refund monies paid arising from our error.
Material Variations. ITALIAN OPTIONS LTD cannot accept responsibility for colour and texture variations which occur occasionally.
Ownership of Goods. All goods remain the property of ITALIAN OPTIONS LTD until full payment has been made. The ownership of the goods supplied shall remain with the seller which reserves the right to dispose of the goods until payment in full for all the goods has been received by the seller or until such time as the buyer sells the goods to its customers by way of bona fide sale at full market value. If such payment is overdue in whole or in part the seller may (without prejudice to any of its other rights) recover or resell the goods or any of them and may enter upon the buyer's premises (wherever the same shall be) by its servants or agents for that purpose. Such payments shall become due immediately upon the commencement of any act or proceeding in which the buyer's solvency is involved. If any of the goods are incorporated in or used as material for other goods before such payment the property in the whole of such goods shall be and remain with the seller until such payment has been made or the other goods shall have been sold as aforesaid and all the seller's rights here un goods shall extend to those other goods. Until the seller is paid in full for all the goods supplied the relationship of the buyer to the seller shall be fiduciary in respect of the goods or other goods in which they are incorporated or used and if the same are sold by the buyer the seller shall have the right to trace the proceeds thereof according to the principles in Re Hallett's Estate (1880) 13Ch.D.696. A like right for the seller shall apply where the buyer uses the goods in any way so as to be entitled to payment from a third party. Until the seller is paid in full the entire proceeds of the sale of the goods are held in trust for the seller and shall not be mingled with monies or paid into any overdrawn bank account and shall be at all times identifiable as the seller's monies.
